Using Brewszilla

These Customer Terms of Use are a binding electronic agreement between you and Brewszilla Private Limited governing your use of the Brewszilla mobile app and website, including features, content, and services made available in India.

If any part of these Terms is unacceptable, discontinue access; your continued use constitutes acceptance of the then‑current Terms as posted in‑app or on the site.

Contact and support

Questions about these Terms or the services can be raised through in‑app support or via the designated contact channels published within the app, which may include email and helpdesk options.

Notices and legally required disclosures may be delivered electronically consistent with Indian law on electronic records and communications.

Who may use Brewszilla

Use is permitted only by natural persons who are at least Twenty One (21) years old and competent to contract under applicable law, with additional age checks applied where activities may involve alcohol‑restricted venues or offerings.

Brewszilla may restrict or terminate access if use violates law or policy, compromises safety, or risks platform integrity.

Account creation and sign‑in

Creating a Brewszilla account requires accurate, current, and complete information and maintaining password confidentiality and device security.

Single‑sign‑on through third‑party accounts (for example, app store or social sign‑ins) is optional and governed by the third party's own terms and privacy notices for data shared with Brewszilla.

Marketplace model and responsibilities

Brewszilla operates a platform that enables customers to discover restaurants and venues, place dine‑in/takeaway/delivery orders, and engage with partner offerings; Brewszilla does not manufacture or directly sell third‑party menu items.

Partners are independent businesses, and information or claims about items and services are supplied by partners; customers must evaluate suitability, including dietary and allergy considerations, before purchasing or consuming items.

Ordering, reviews, and discovery

The app may allow browsing menus, reading and posting reviews, viewing and uploading photos or short videos, placing orders, and redeeming offers subject to feature‑specific rules and disclosures presented at checkout.

Order acceptance, preparation, and fulfillment depend on partner availability, delivery zones, and operational constraints communicated during checkout or via order status updates.

Offers and loyalty

Discounts, time‑bound promotions, and venue‑specific offers are governed by the terms shown at selection and may include eligibility, caps, and exclusions, including per‑table or per‑bill conditions for dine‑in.

Brewszilla may operate a loyalty program (for example, BrewCoins) with accrual, redemption, expiry, and fraud‑prevention rules disclosed in‑app; program terms may change or be withdrawn to maintain compliance and platform integrity.

Pricing, tax, and invoices

Prices, taxes, and surcharges (for example, packing or handling) are provided by partners and displayed prior to payment and may update until order confirmation; statutory taxes are applied as disclosed on invoices.

Electronic confirmations, logs, and receipts may serve as evidence of transactions and timestamps, subject to correction of clerical errors as permitted by law and applicable policy.

Payments and settlement

Payments can be made through supported rails (for example, cards, UPI, net banking, cash‑on‑delivery where available) or other RBI‑approved methods surfaced at checkout, processed by integrated gateways under their own terms and privacy policies.

For partner orders, Brewszilla acts as a limited collection and remittance agent for amounts due to partners or delivery providers, and your payment to Brewszilla discharges your payment obligation for the applicable order value.

Cancellations and refunds

As a general rule, orders are final once placed and accepted; refunds or credits may be provided where required by applicable policy, for example unavailability, wrong item, missing items, or tampered packaging documented within specified time windows.

Brewszilla may cancel or adjust orders for reasons including incorrect addresses, out‑of‑zone locations, inability to contact you, or unavailability of items, with remedies governed by posted order and refund policies.

Location, notifications, and consent

With your permission, approximate or precise location data may be used to improve discovery, quoting, routing, delivery tracking, and fraud prevention; disabling location may affect related features.

Transactional communications (for example, OTPs, receipts, order status) may be sent via SMS, email, push, or in‑app messages consistent with Indian IT law and your notification settings.

Acceptable use and safety

Do not harass, threaten, abuse, impersonate, or engage in unlawful, discriminatory, or deceptive behavior in or around the app or partner venues, and follow lawful instructions and venue rules.

Do not disrupt services, probe or bypass security, scrape or crawl without permission, or upload malware or spam; Brewszilla may suspend access and remove content to protect users and comply with law.

Platform content and limited license

Platform code, design, compilations, and content are protected under intellectual property laws; you receive a limited, revocable, non‑transferable license to access and use the app for personal, non‑commercial purposes.

Reverse engineering, derivative exploitation, removal of notices, resale, or service‑bureau use is prohibited unless expressly authorized in writing.

Your content and licenses

You remain the owner of content you submit (for example, reviews, photos, videos), and you grant Brewszilla a worldwide, royalty‑free, sublicensable license to host, reproduce, adapt, display, and distribute it to operate, improve, and promote the platform consistent with applicable law and policies.

Do not submit content that infringes rights, is obscene or exploitative, incites violence or hatred, promotes illegal or deceptive schemes, or violates law; Brewszilla may remove content and act on violations.

Third‑party links, SDKs, and venues

Links, SDKs, payment gateways, and partner resources are governed by their own terms and privacy notices; use discretion and review those terms before transacting or sharing data.

Brewszilla does not control or warrant external sites or partner services and is not responsible for losses arising from reliance on third‑party content or offerings.

App stores and device terms

Mobile distribution and updates depend on third‑party app stores and device providers, and you must comply with their applicable terms and policies alongside these Terms.

Where store terms conflict, the more restrictive conditions apply for your license to install and use the Brewszilla app on supported devices.

Service changes and availability

Features may be introduced, modified, paused, or retired to improve performance, comply with law, or reflect partner availability, with reasonable in‑app notice where required.

Service quality depends on device, OS versions, and network conditions, and some features may be limited by geography, partner capacity, or operational constraints.

Suspension and termination

Brewszilla may restrict or terminate accounts for breaches, fraud, safety risks, unlawful conduct, or policy violations, and certain clauses (for example, IP, licenses, disclaimers, limitations, dispute provisions) survive termination.

You may close your account through published procedures, and Brewszilla will act on verified requests consistent with legal and operational requirements.

Disclaimers and liability

Services are provided "as is" and "as available," without warranties beyond those required by law or expressly stated in feature‑specific terms; venue offerings are the responsibility of partners.

To the maximum extent permitted, Brewszilla disclaims liability for indirect or consequential loss and for delays or deficiencies arising from force majeure, user actions, legal constraints, or partner‑controlled factors, subject to non‑waivable rights.

Indemnity and disputes

You agree to indemnify Brewszilla for losses arising from your violations of these Terms, unlawful conduct, or venue damage, to the extent permitted by law.

These Terms are governed by the laws of India and disputes will follow the dispute resolution process presented in the platform or overarching terms documents, without limiting rights that cannot be excluded.

No warranties

Brewszilla, its parent, subsidiaries, affiliates, licensors, suppliers, and each of their directors, officers, employees, contractors, and agents (collectively, the "Brewszilla Parties") provide the app, site, and all content and features on an "as is" and "as available" basis.

No promise is made that content is accurate, lawful, reliable, complete, current, decent, or suitable for any purpose, and no assurance is given that access will be uninterrupted, secure, or error‑free.

To the extent permitted by law, all implied warranties are disclaimed, including merchantability, fitness for a particular purpose, non‑infringement, and suitability of recommendations or suggestions about third‑party goods and services (including restaurant items).

Liability boundaries

To the maximum extent allowed by applicable law, the Brewszilla Parties are not liable under any legal theory for:

  • indirect, special, incidental, punitive, or consequential losses (including lost profits, data loss, business interruption, loss of goodwill, accuracy of results, or device failure)
  • any substitute goods, services, or technology
  • amounts in the aggregate exceeding INR 1,000 for claims arising from your consumer use of the app and services
  • events beyond reasonable control (including force majeure, outages, regulatory actions, or third‑party failures)

Nothing here excludes liability that cannot legally be excluded.

Your indemnity promise

You agree to defend, indemnify, and hold harmless the Brewszilla Parties from claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • your use or misuse of the app, services, or your account, including third‑party actions through your credentials
  • your breach of these terms or applicable law
  • your content, including IP, privacy, publicity, or other rights violations

Brewszilla may assume exclusive defense and control of a matter; your cooperation will be required and your indemnity obligations will continue.

Transfer of rights

You may not assign, transfer, or delegate these terms or your account without Brewszilla's prior written consent.

Brewszilla may assign or delegate these terms (in whole or part) to an affiliate, successor, or acquirer as part of a merger, asset sale, reorganization, or similar transaction.

Disputes and governing law

The parties will first attempt to resolve any dispute in good faith within 30 days of written notice.

If unresolved, the dispute will be referred to a sole arbitrator mutually appointed by the parties, with proceedings under the Arbitration and Conciliation Act, 1996, conducted in English at Bangalore; the award will be final and binding.

Subject to arbitration, the courts at Bangalore will have exclusive jurisdiction, and Indian law governs interpretation and enforcement of these terms.

General provisions

No waiver results from any delay or failure to exercise a right, and a single or partial exercise does not prevent any other exercise.

If any provision is found unenforceable, it will be limited to the minimum extent necessary so the rest remains in full force and effect.

These terms reflect the entire understanding between you and Brewszilla regarding the matters described and supersede prior or contemporaneous communications on that subject.

Headings are for convenience only and do not affect interpretation.

Merchant Terms of Usage

Merchant standards

Merchants must supply only safe, accurately described, and legally compliant food, beverages, and related products, and are solely responsible for preparation, storage, and fulfillment that matches advertised descriptions and images.

Menus and prices must be kept current and corrected promptly through Brewszilla's interface or approved POS integrations wherever enabled.

Pricing and settlements

Merchants set prices but agree to maintain price parity so that substantially identical items are not listed on Brewszilla at higher prices than direct channels or comparable platforms.

Brewszilla may deduct commissions, transaction fees, taxes, and agreed charges in line with the commercial schedule prior to payout, and will issue periodic invoices showing orders, gross value, deductions, and commissions.

Billing queries must be raised within seven days of invoice delivery, and settlement frequency and payout timelines follow the mutually agreed commercial terms and accounting cycles.

Integrations and platform use

Where required, merchants will maintain technical integrations such as POS, menu sync, order routing, and gateway connections to ensure real‑time availability, pricing, and status updates.

Brewszilla provides onboarding guidance and reasonable technical assistance, while merchants ensure device, software, and connectivity compatibility for uninterrupted operations.

Operational data generated on the platform is used for order fulfillment, analytics, and service improvement, and any personal data processing must follow the Privacy Policy and applicable Indian IT rules.

Promotions and offers

Brewszilla may run promotions independently or co‑create campaigns with merchants, with funding, discounts, and reimbursement mechanics documented in annexures or promotional addenda.

Merchants will honor agreed promotional terms, and no compensation is due for failed transactions or refunds attributable to promotional configuration errors or customer disputes.

Brand, content, and compliance

Merchants grant Brewszilla a non‑exclusive, revocable license to use shop names, marks, menu images, and other brand assets for listing, search, order flows, and marketing on the platform.

Merchants must not publish unlawful or unethical content and must comply with intellectual property, intermediary, and content rules under Indian law and platform policies.

Reviews and feedback

Customer ratings and reviews reflect individual user opinions; Brewszilla acts as a neutral intermediary and moderates only for compliance, illegality, or policy violations.

Merchants may publicly respond to feedback and request review removal where breaches are identified, subject to platform moderation standards.

Data privacy and account security

Merchants must safeguard account credentials, implement reasonable security practices, and promptly notify Brewszilla of suspected misuse or unauthorized access.

Personal data handling must adhere to Brewszilla's Privacy Policy and Indian IT security and SPDI rules, including lawful bases, minimal access, and secure processing.

Suspension, termination, and disputes

Brewszilla may suspend or terminate a merchant account for material breach, misuse, fraud, reputational harm, or legal risk, typically with notice except in cases of serious misconduct.

Merchants may terminate participation with prior written notice as specified in the commercial agreement, with final settlements governed by agreed terms.

Disputes will first be addressed through good‑faith discussion for 30 days, then referred to a sole arbitrator seated in Bangalore under the Arbitration and Conciliation Act, with Bangalore courts retaining exclusive jurisdiction subject to arbitration.

Service changes and third‑party logistics

Brewszilla may update platform features, fees, or policies from time to time, and continued use after posting constitutes acceptance of the revised terms.

Delivery and logistics may be performed by third‑party partners under their own terms, and merchants agree to cooperate with operational guidelines for timely fulfillment.

Your Brewszilla account

To access merchant services, create and maintain a Brewszilla Account with accurate, current information, and consent to receive electronic communications for invoices, settlements, and account activity under Indian IT law.

Protect passwords, avoid reuse across third‑party apps, and report suspected unauthorized access via in‑app support or designated channels for swift remediation.

Content you provide

Merchants retain IP rights in menus, images, and descriptions, and grant Brewszilla a worldwide, royalty‑free, sublicensable license to host, adapt, and display such content to operate and promote the platform.

Content must be accurate, lawful, and non‑infringing, and may not include explicit, hateful, exploitative, fraudulent, or otherwise prohibited material under platform and legal standards.

Disclaimers

Except as expressly agreed in signed commercial documents, services are provided "as is" and "as available," without warranties of availability, fitness, non‑infringement, or accuracy beyond non‑waivable statutory rights.

Brewszilla disclaims warranties related to merchant items and third‑party services, including quality or compliance, which remain the responsibility of merchants and partners.

Liability limits

To the fullest extent permitted by law, Brewszilla is not liable for indirect, incidental, special, exemplary, or consequential damages, including lost profits, data loss, or business interruption.

Aggregate liability is capped as specified in the merchant agreement or invoice, or otherwise at a reasonable fixed cap per claim or related series, without limiting non‑waivable rights.

Force majeure

Neither party is responsible for delay or failure caused by events beyond reasonable control, including natural disasters, regulatory actions, network outages, or third‑party failures, with performance extended for the duration of the event.

The affected party will notify the other and both will take reasonable steps to mitigate impact and resume obligations promptly.

Indemnification

Merchants will indemnify and hold harmless Brewszilla and its affiliates for claims, losses, and expenses arising from breach of these terms, violation of law, infringement, fraud or gross negligence, or harms related to items or services offered by the merchant.

Brewszilla may assume control of the defense, and the merchant agrees to cooperate without limiting indemnity obligations.

Third‑party content and links

Access to external links, SDKs, gateways, or partner materials is governed by third‑party terms and privacy notices, and Brewszilla does not warrant those resources.

Merchants must maintain prudent security practices when engaging with external systems and accept the risks of third‑party dependencies.

Modifications, assignment, and general

Brewszilla may modify these terms with effect upon posting and, where required, reasonable notice; continued access signifies acceptance of the updates.

Merchants may not assign rights or obligations without consent, while Brewszilla may assign to affiliates or successors as part of corporate actions, with waiver and severability applying as standard.

Governing law and venue

These merchant terms are governed by the laws of India, with arbitration in Bangalore and court jurisdiction in Bangalore subject to the arbitration clause, ensuring consistency with the overarching agreement.
